5. Intellectual Property

Unless otherwise agreed in writing, custom work products developed specifically for a client under a paid engagement become the property of the client upon full payment, subject to our right to reuse general knowledge, skills, and techniques.

5.2 Pre-Existing Materials

LeoTech Services retains all rights to pre-existing intellectual property, tools, frameworks, and methodologies used in providing services.

5.3 Website Content

All content on this website, including text, graphics, logos, and software, is the property of LeoTech Services and is protected by copyright and other intellectual property laws.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. This obligation survives the termination of services.

7. Limitation of Liability

To the fullest extent permitted by law:

• LeoTech Services shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim shall not exceed the fees paid for the specific services that gave rise to the claim

8. Data Privacy and Security

10. Termination

Either party may terminate an engagement with written notice. Termination terms will be specified in individual project agreements. Client remains responsible for payment of all work completed prior to termination.

11. Independent Contractor

LeoTech Services operates as an independent contractor. Nothing in these terms creates an employment, partnership, or joint venture relationship.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this website. Continued use of our Services after changes constitutes acceptance of the modified terms.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or appropriate court jurisdiction.

15. Severability

16. Entire Agreement

These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and LeoTech Services regarding the use of our Services.
